Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Conduix service operated by iVirtualsoft Corp, a Texas corporation (“Conduix”, “we”, “us”). By creating an account or otherwise using the service, you agree to be bound by these Terms.
1. Acceptance of these Terms
By accessing or using Conduix, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and “you” refers to that organization.
2. Description of the service
Conduix is a governed Large Language Model (LLM) gateway. The service exposes an OpenAI-compatible HTTP API that forwards model requests to upstream model providers (such as OpenAI, Anthropic, Google, Groq, Together, Mistral, DeepSeek, Fireworks, and xAI), applies routing, fallback, audit, governance, and policy controls, and meters usage against a prepaid credit balance. Conduix is not itself a model provider; we orchestrate access to third-party providers on your behalf.
3. Accounts and eligibility
- You must be at least 18 years old and capable of forming a legally binding contract to use the service.
- You are responsible for the accuracy of your registration information and for maintaining the confidentiality of your credentials (passwords, API keys, multi-factor tokens).
- You are responsible for all activity that occurs under your account, including activity by your team members and any API keys you issue.
- You agree to notify us promptly at support@conduix.ai of any suspected unauthorized use of your account or credentials.
4. Acceptable use
You agree not to use the service to send, generate, store, or transmit content that:
- Violates applicable law, including export controls, sanctions, and intellectual-property law.
- Infringes the rights of any third party, including privacy, publicity, or intellectual-property rights.
- Is abusive, harassing, defamatory, or constitutes child sexual abuse material or content depicting violence against real persons.
- Attempts to circumvent rate limits, quotas, or access controls; to probe or scan the service for vulnerabilities without our written authorization; or to interfere with other customers’ use of the service.
- Violates the terms or usage policies of any upstream model provider to which the request is routed. The upstream provider’s rules apply in addition to these Terms for each request you send through Conduix.
5. Credits, billing, and payment
- Conduix is billed on a prepaid credit model. You purchase credits in advance through Stripe; credits are consumed as you make API requests and as the service performs the work to fulfill them.
- Prices, conversion rates between credits and currency, and any included monthly allotments are described on our pricing page and in your dashboard. We may change pricing prospectively; changes will not affect credits already purchased.
- Stripe processes all payments. By providing payment information you authorize the applicable charges. Failed payments may result in temporary suspension of your account.
- Refunds. Credits are prepaid and non-refundable, except where a refund is required by applicable law.
- Taxes (sales, VAT, GST, etc.) are your responsibility unless expressly stated otherwise.
6. API access and rate limits
Your use of the API is subject to per-tier rate limits, per-key quotas, and tenant-level spend caps as configured in your dashboard. We may apply additional protective limits to safeguard service availability for all customers. Rate-limit thresholds and quotas may change; current values are surfaced in the dashboard and API responses.
7. Intellectual property
- Your content. You retain all rights in the prompts, inputs, files, and other data you submit to the service (“Customer Content”). You grant us a limited, non-exclusive license to process Customer Content solely to provide and improve the service in accordance with these Terms and our Privacy Policy.
- Model output. Model output is generated by the upstream provider in response to your inputs. As between you and Conduix, you own model output you receive, subject to the upstream provider’s terms and to any third-party rights in underlying material.
- Conduix IP. The Conduix service, including its software, dashboards, documentation, and trademarks, remains the property of Conduix and its licensors. No license is granted by implication.
8. Third-party providers
Conduix routes each request to one or more upstream model providers based on the model you select and your governance policy. Your request, the resulting response, and associated metadata are processed by those providers under their respective terms and privacy policies. Provider availability, model behavior, and pricing are outside our control and may change without notice. We will use commercially reasonable efforts to maintain integrations and to surface provider changes in the dashboard.
9. Disclaimers
The service is provided “as is” and “as available”. To the maximum extent permitted by law, Conduix disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the service will be uninterrupted, error-free, or free from harmful components, and we do not warrant the accuracy, completeness, or suitability of model output for any purpose. You are responsible for independently evaluating model output before relying on it.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or in connection with these Terms or the service, even if advised of the possibility of such damages. Each party’s aggregate liability under these Terms will not exceed the greater of (a) the amounts paid by you to Conduix in the twelve (12) months immediately preceding the event giving rise to the claim and (b) US$100. These limitations do not apply to liability that cannot be limited under applicable law.
11. Termination and suspension
You may terminate your account at any time from the dashboard. We may suspend or terminate your access to the service if (i) you materially breach these Terms, (ii) your use poses a risk to the service or to other customers, (iii) payment fails and is not cured within a reasonable period, or (iv) we are required to do so by law. We will use reasonable efforts to notify you in advance of a suspension where practicable. Upon termination, your right to access the service ends; sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email and/or in the dashboard before they take effect. Your continued use of the service after the effective date of the updated Terms constitutes acceptance of the changes. If you do not agree to a change, your sole remedy is to stop using the service and close your account.
13. Governing law and venue
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Texas for any dispute arising out of or relating to these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual-property rights.
